- Introduction & Acceptance
This Seller Agreement ("Agreement") governs your use of Clipster Store as a seller. By creating a Clipster Store, you agree to be bound by this Agreement, along with Clipster's Terms of Service, Privacy Policy, and all other applicable policies.
- Seller Eligibility
2.1 Who Can Sell
To become a Clipster seller, you must:
- Be at least 18 years old
- Have a valid Indian bank account
- Provide accurate personal/business information
- Complete identity verification when requested
- Comply with all applicable laws and regulations
2.2 Business Types Allowed
- Individual sellers (proprietorship)
- Registered companies (Private/Public Limited)
- Partnership firms
- LLPs
- One Person Companies
2.3 Prohibited Sellers
- Users with suspended/terminated accounts
- Minors under 18 years
- Entities on sanctions lists
- Previously banned sellers

3.1 Registration Process
- Complete seller application form

- PAN card
- Aadhaar card (individuals)

3.2 Store Creation
- Choose unique store name

3.3 Account Security

- Notify Clipster immediately of unauthorized access

4.1 Allowed Products
Sellers may list:

- Handmade/artisanal products
- Books and stationery
- Health and wellness products (with necessary approvals)
- Electronics and appliances
4.2 Prohibited Products
STRICTLY PROHIBITED:
- Digital goods, software, or downloadable content
- Weapons, firearms, ammunition, or explosives
- Drugs, narcotics, or controlled substances
- Adult content or pornography
- Counterfeit or pirated goods
- Stolen property
- Hazardous materials
- Live animals
- Human organs or body parts
- Recalled items
- Government documents or IDs
- Lottery tickets or gambling devices
- Products promoting hate or violence
- Digital goods, software, or downloadable content ❌

4.3 Listing Requirements
Each product listing must include:
- Accurate, clear title
- Detailed description
- Multiple high-quality images
- Correct category selection
- Accurate specifications
- Clear pricing (including all taxes)
- Shipping information
- Return policy
4.4 Listing Quality Standards
- No misleading or false information
- No keyword stuffing
- No duplicate listings
- Professional product photography
- Complete attribute information
- Regular inventory updates
- Pricing & Payments
5.1 Pricing Responsibility
Sellers are solely responsible for:
- Setting competitive prices
- Including all applicable taxes
- Clear disclosure of additional charges
- Compliance with Legal Metrology rules
5.2 Commission Structure
As per Clipster Monetization Policy:
- First 100 orders: 0% commission
- Orders 101+: 2% commission on order value
- Payment gateway charges: 1-2% (as per provider)
- GST on commission: 18%
5.3 Payout Process
- Payout schedule: Weekly (every Tuesday)
- Minimum payout: ₹500
- Payment method: Bank transfer (NEFT/IMPS)
- Processing time: 1-3 business days
- Hold period: First 5 orders held for 14 days
5.4 Deductions from Payout
Before payout, Clipster deducts:
- Platform commission
- Payment gateway charges
- GST on commission
- Refunds/returns from that period
- Chargeback amounts
- Any penalties or fines
- Order Fulfillment
6.1 Order Processing
- Process orders within 24-48 hours
- Update order status promptly
- Communicate delays to buyers
- Cancel only for valid reasons (stock issues, pricing errors)
6.2 Shipping Requirements
- Use approved packaging materials
- Include invoice copy inside package
- Attach shipping label provided
- Hand over to Eshopbox as scheduled
- Maintain shipping records for 180 days
6.3 Inventory Management
- Maintain accurate stock levels
- Update inventory regularly
- Remove out-of-stock items promptly
- Fulfill orders in chronological order
- Customer Service
7.1 Response Times
- General inquiries: Within 24 hours
- Order-related questions: Within 12 hours
- Return/refund requests: Within 24 hours
- Dispute resolution: Within 48 hours
7.2 Professional Conduct
- Polite and professional communication
- Timely resolution of issues
- Honest and transparent dealings
- Respect for buyer privacy
7.3 Review Management
- Do not offer incentives for positive reviews
- Do not harass buyers for reviews
- Respond professionally to negative reviews
- Address legitimate concerns publicly
- Returns & Refunds
8.1 Return Policy Compliance
Sellers must:
- Accept returns as per Clipster Return Policy
- Process refunds within stipulated timelines
- Bear return shipping for defective/wrong items
- Conduct quality checks on returned items
8.2 Return Window
- Standard: 7 days from delivery
- Extended: As specified in listing
- Non-returnable: Clearly marked products
8.3 Refund Processing
- Initiate refund within 24 hours of return approval
- Provide refund reason to buyer
- Coordinate with Clipster for payout adjustments
- Tax Compliance
9.1 GST Registered Sellers
Must:
- Provide valid GSTIN
- Charge appropriate GST rates
- Issue GST-compliant invoices
- File regular GST returns
- Maintain records for 7+ years
9.2 Non-GST Sellers
- Comply with local tax regulations
- Issue proper bills/invoices
- Maintain sales records
- Cooperate with tax authorities
9.3 TDS Compliance
Clipster will deduct TDS:
- When commission exceeds ₹50,000 annually
- Provide Form 16A for TDS certificates
- As per Income Tax Act provisions
- Intellectual Property
10.1 Your Content
You retain ownership of:
- Product designs
- Brand names and logos
- Original content created by you
- Product photography
10.2 License to Clipster
You grant Clipster a worldwide, royalty-free license to:
- Display your product listings
- Promote your store and products
- Use your content for platform operations
- Archive content for legal compliance
10.3 Copyright Compliance
- Only list products you have rights to sell
- Do not infringe others' intellectual property
- Respect trademark rights
- Remove infringing content when notified
- Performance Standards
11.1 Minimum Performance Metrics
- Order defect rate: <5%
- Late shipment rate: <10%
- Cancellation rate: <5%
- Positive review rate: >90%
- Response rate: >95% within 24 hours
11.2 Consequences for Poor Performance
- Warning for first violation
- Temporary store suspension for repeated issues
- Permanent termination for severe/persistent violations
- Review period: 30-90 days based on severity
- Prohibited Seller Activities
12.1 General Prohibitions
- Creating multiple seller accounts
- Manipulating search results
- Fake orders or reviews
- Price fixing or collusion
- Circumventing Clipster systems
12.2 Communication Violations
- Sharing contact information to transact outside Clipster
- Spamming buyers
- Harassment or abuse
- Misleading claims or promises
12.3 Transaction Violations
- Failure to deliver after payment
- Shipping wrong/different items
- Overcharging buyers
- Refusing legitimate returns
- Suspension & Termination
13.1 Grounds for Suspension
- Policy violations
- Poor performance metrics
- Customer complaints

13.2 Grounds for Termination
- Repeated violations after warnings
- Fraudulent activities

- Harm to Clipster or users
- Failure to resolve suspension issues
13.3 Effects of Termination
- All listings removed
- Ongoing orders cancelled (with buyer notification)
- Final payout after 90-day hold period
- Data retention as per Privacy Policy

14.1 Buyer-Seller Disputes
- Direct resolution encouraged
- Clipster mediation if unresolved
- Provide evidence and documentation
- Accept Clipster's final decision

- Business insurance as applicable
- Cyber insurance for online operations
15.3 Clipster's Limited Liability
Clipster is not liable for:
- Seller-buyer disputes
- Product defects or issues
- Shipping delays or damages
- Financial losses from platform use
- Third-party actions
- Data Protection
16.1 Buyer Data
Sellers may only use buyer data for:
- Order fulfillment
- Customer service
- Legal compliance
- As permitted by Clipster policies
16.2 Data Restrictions
Do not:
- Share buyer data with third parties
- Use data for marketing without consent
- Store data beyond necessary period
- Violate buyer privacy rights
16.3 Security Requirements
- Secure storage of customer information
- Regular security updates
- Breach notification to Clipster
- Compliance with data protection laws

- Major changes: 30-day advance notice

Continued selling after updates constitutes:
- Acceptance of new terms

- This Agreement governed by Indian law

- Arbitration option for certain disputes
- English version prevails
