📘 CLIPSTER – TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing, downloading, installing, or using the Clipster mobile application, website, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Community Guidelines, and all other applicable policies referenced herein.

If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and Axxoraa Private Limited ("we," "us," "our").

2. ELIGIBILITY AND AGE REQUIREMENTS

2.1 Minimum Age

You must be at least 13 years old to use Clipster. By creating an account, you represent and warrant that you meet this age requirement.

2.2 Teen Accounts (Ages 13-17)

- Users aged 13-17 are automatically placed in Teen Mode.

- Teen Mode includes enhanced privacy protections, content filtering, and restricted features.

- Parental/guardian consent is required via email verification (OTP).

- **Teen accounts CANNOT access Clipster Store features including

 buying, selling, or viewing certain product categories.**

2.3 Adult Accounts (18+)

Users 18 years and older have access to all Clipster features, subject to compliance with these Terms.

2.4 Business and Seller Accounts

If you use Clipster as a business, brand, or seller:

• You must be at least 18 years old
• You must have authority to represent the business
• You must comply with all applicable laws, including GST and tax regulations
• You must complete identity verification when requested

**Important Distinction:**

• - **Social Features:** Available to users 13+ with parent verification
• - **Clipster Store Features:** Strictly limited to users 18+
• - **Verification:** Store access requires age verification through date of birth confirmation

3. PARENTAL CONSENT AND RESPONSIBILITY

3.1 For Teen Users (Ages 13-17)

If you are between 13 and 17 years old, you confirm that:

• Your parent/legal guardian has permitted your use of Clipster...

3.2 For Parents/Guardians

If you allow your child (aged 13-17) to use Clipster:

• You agree to these Terms on their behalf
• You accept responsibility for their compliance
• You may request account deletion or content review
• You acknowledge that Teen Mode protections will apply

4. SERVICE DESCRIPTION

Clipster is a social media and e-commerce platform that enables users to:

4.1 Social Features

• Create and share Shows(long videos)
• Upload Clips(short videos up to 60 seconds)
• Post Captures(images)
• Create Whispers(text posts)
• Send and receive messages (text only; voice/video calls may be added in future)
• Follow other users and creators
• Like, comment, and share content

4.2 Clipster Store

• Create and manage online stores
• Sell physical products only(clothing, accessories, etc.)
• Process orders and manage inventory
• Digital goods are NOT supported

4.3 Monetization Features

• Display ads in or alongside content
• Earn through Clipster Store sales (sellers only)
• Access promotional tools (creators with stores only)
• Standard users without stores cannot earn from ads

5. ACCOUNT REGISTRATION AND SECURITY

5.1 Account Creation

To use Clipster, you must:

• Provide accurate registration information
• Create a unique username ("Clip ID")
• Provide a valid email address
• For teens: provide parent/guardian email for verification
• Accept these Terms, Privacy Policy, and Community Guidelines

5.2 Account Security

You are responsible for:

• Maintaining confidentiality of login credentials
• Using strong, unique passwords
• Enabling two-factor authentication (recommended)
• Immediately reporting unauthorized access
• Not sharing account access with others

5.3 Account Termination by You

You may delete your account at any time through account settings. Before deletion, you may download your data through our export tools.

6. USER CONTENT AND CONDUCT

6.1 Your Content

You agree that any content you upload, post, or share on Clipster ("User Content") must comply with these Terms and our Community Guidelines.6.2 Prohibited Content

You must not upload content that:

• Violates any law or regulation
• Infringes intellectual property rights
• Contains hate speech, harassment, or bullying
• Includes nudity, sexual content, or adult material
• Promotes violence, self-harm, or dangerous activities
• Involves child exploitation or endangerment
• Contains false or misleading information
• Promotes illegal goods or services
• Constitutes spam or deceptive practices

6.3 Content Moderation

We reserve the right to:

• Remove or restrict access to violating content
• Apply age restrictions to mature content
• Issue warnings or strikes for violations
• Suspend or terminate accounts for serious or repeated violations

6.4 License to Clipster

By uploading User Content, you grant Axxoraa Private Limited a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, display, perform, and create derivative works of your content for the purpose of operating, promoting, and improving the Service.

6.5 Content Ownership

You retain ownership of your User Content. This license does not transfer ownership to us.

7. CLIPSTER STORE TERMS

7.1 Eligibility

Clipster Store is available only to users:

• Aged 18 years or older
• Who have completed identity verification (if requested)
• With a valid Indian bank account (for sellers)

7.2 Seller Responsibilities

Sellers must:

• Provide accurate product descriptions and images
• Comply with all applicable laws (GST, consumer protection, etc.)
• Process orders within 24-48 hours
• Accept returns as per our Returns & Refunds Policy
• Cooperate with Eshopbox (our logistics partner) for delivery and returns

7.3 Delivery and Logistics

• All deliveries are handled by Eshopbox
• Sellers must package products according to Eshopbox guidelines
• Clipster is not responsible for delivery delays, damages, or lost shipments once handed to Eshopbox

7.4 Prohibited Products

Sellers must not list:

• Digital goods or services
• Weapons, explosives, or hazardous materials
• Drugs, controlled substances, or medications
• Adult content or pornography
• Counterfeit or pirated goods
• Illegal or regulated items

7.5 Payments and Fees

• Buyers pay displayed prices at checkout
• Sellers receive payouts after successful delivery and return window expiry
• Commission structure: 0% for first 100 orders, 2% thereafter
• Payment gateway charges apply (1-2%)

7.6 Payment Method Distinction

1. Clipster Store Transactions (Physical Products Only)

- All store transactions are for physical goods only

- Payment Processing: Third-party gateways (Razorpay)

- Payout to Sellers: Direct bank transfer via payment gateway

- **Digital goods, subscriptions, or virtual items are NOT sold through Clipster Store**

1. Premium Features & Digital Purchases

- All digital goods, premium features, subscriptions, and in-app purchases

- Payment Processing: **Exclusively through Google Play Billing**

- Compliance: Follows all Google Play Developer Policies

- Refunds: Processed according to Google Play Store policies

**Important:** Clipster Store is exclusively for physical goods. Any digital purchases within the Clipster app use Google Play Billing as required by Google Play Store policies.

8. INTELLECTUAL PROPERTY

8.1 Our Rights

Clipster, its logos, trademarks, and all Service content (excluding User Content) are owned by Axxoraa Private Limited and protected by intellectual property laws.

8.2 Copyright Infringement

We respect intellectual property rights. If you believe your copyright has been infringed, submit a notice to copyright@clipster.co.in with:

• Identification of copyrighted work
• Location of infringing material
• Your contact information
• Statement of good faith belief

8.3 Repeat Infringer Policy

Accounts with repeated copyright violations may be terminated.

9. PRIVACY AND DATA PROTECTION

9.1 Privacy Policy

Our Privacy Policy (available at clipster.in/privacy) explains how we collect, use, and protect your personal information. By using Clipster, you consent to our data practices.

9.2 Data Collection

We collect information necessary to provide the Service, including:

• Account information (name, email, date of birth)
• User Content and interactions
• Device and usage information
• Payment information (for store transactions)

9.3 Data Rights

You have the right to:

• Access your personal data
• Correct inaccurate information
• Request data deletion
• Export your data
• Object to certain processing

9.4 Security

We implement reasonable security measures to protect your information, but cannot guarantee absolute security.

9.5 Data Retention & Deletion

Upon account deletion:

• Your personal data is removed from active systems within 30 days
• Complete data erasure occurs within 90 days, subject to legal retention requirements
• You may request data export before deletion through account settings

10. MONETIZATION AND ADVERTISING

10.1 Advertising

Clipster may display advertisements:

• In or alongside User Content
• Based on user activity and interests
• Subject to our Advertising Standards

10.2 Creator Monetization

Only creators with Clipster Stores may:

• Earn money through product sales
• Access promotional tools
• Participate in monetization programs

10.3 User Earnings

Standard users (without stores) cannot earn money from ads displayed on their content.

11. TERMINATION AND SUSPENSION

11.1 By You

You may terminate your account at any time through account settings.

11.2 By Us

We may suspend or terminate your account if:

• You materially or repeatedly violate these Terms
• Required by law or court order
• Your conduct creates harm or liability
• You engage in fraudulent or abusive behavior

11.3 Effect of Termination

Upon termination:

• Your access to the Service will end
• Your User Content may be removed
• These Terms will continue to apply to past use
• You may request data export before deletion

12. DISCLAIMERS AND LIMITATIONS OF LIABILITY

12.1 Service "As Is"

Clipster is provided "as is" and "as available" without warranties of any kind, either express or implied.

12.2 Content Disclaimer

We do not endorse, support, or verify User Content. You are solely responsible for your interactions with other users.

12.3 Limitation of Liability

To the maximum extent permitted by law, Axxoraa Private Limited shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• User Content or conduct of third parties
• Service interruptions or technical issues

12.4 Maximum Liability

Our total liability for any claim arising from these Terms shall not exceed the greater of:

• ₹50,000, or
• Amounts paid to you by Clipster in the past 12 months

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Axxoraa Private Limited, its affiliates, officers, directors, and employees from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your infringement of third-party rights
• Your User Content or conduct

14. DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

14.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of courts in Jharkhand, India.

14.3 Arbitration

For certain disputes, we may offer arbitration as an alternative resolution method.

14.4 Class Action Waiver

You waive any right to participate in class actions or consolidated claims.

15. GRIEVANCE REDRESSAL

15.1 Reporting Issues

Users may report violations or submit complaints through the following channels:

• Minor changes: Posted with updated "Last Updated" date
• Continued use constitutes acceptance

17. MISCELLANEOUS

17.1 Entire Agreement

These Terms, together with referenced policies, constitute the entire agreement between you and Axxoraa Private Limited.

17.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

17.3 No Waiver

Our failure to enforce any provision does not constitute a waiver.

17.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to affiliates or successors.

17.5 Third-Party Links

Clipster may contain links to third-party websites. We are not responsible for their content or practices.
